Terms of Service

Please read these terms carefully. They explain how the network operates, what you can expect from us, and what we expect from you. They are written in plain English and are not legal advice; if you need advice about your own situation, speak to a lawyer.

1. Who we are and what these terms cover

HospiHub ("HospiHub", "we", "us") operates an online network where hospitality venues, professionals, vendors, influencers and clients create profiles, discover each other and arrange work. These Terms of Service form a binding agreement between you and HospiHub covering the website, your account and every feature inside it.

By creating an account, checking the acceptance box during onboarding, or continuing to use the platform, you agree to these terms and to our Privacy Policy, which is incorporated here by reference. If you use HospiHub on behalf of a company, you confirm you are authorised to bind that company, and "you" means both you and that company.

2. Eligibility and your account

You must be at least 18 years old and legally able to enter into contracts. You agree to provide accurate information, keep it current, and safeguard your login credentials. You are responsible for all activity under your account.

You may not create an account for someone else without permission, impersonate a business, share an account, or open a new account after we have suspended you. Tell us immediately at hello@hospihub.net if you believe your account has been accessed without authorisation.

3. Your content and the licence you give us

You keep ownership of the profiles, photos, media kits, listings, job posts, reviews and messages you submit ("Member Content"). You grant HospiHub a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt for formatting, display and distribute your Member Content for the purpose of operating, securing and promoting the platform and your presence on it. This licence ends when you delete the content or your account, except for copies retained in backups or where we must keep records by law.

You confirm you own or have all rights needed to post your Member Content, including any rights of third parties appearing in photos or video, and that publishing it does not breach anyone's intellectual property, privacy or contractual rights.

4. HospiHub is a marketplace, not a party to your deals

HospiHub introduces members to each other. Rates, scope, schedules, deliverables, staffing, licensing, insurance, cancellation terms, taxes and payment are agreed directly between the members involved. We are not an employer, staffing agency, agent, broker or guarantor for any member, and we are not a party to any contract you form through the platform.

We do not verify every credential, licence, certification, insurance policy or claim made by members. You are responsible for your own due diligence before hiring, booking, paying or performing work, and for complying with the employment, licensing, health and safety, and tax rules that apply to you.

5. Reviews, ratings and reports

Reviews must reflect a genuine, first-hand experience. Incentivised, traded, fabricated or retaliatory reviews are prohibited, as is reviewing your own business or a competitor. We may remove reviews that breach these rules or the law, and we may act on member reports at our discretion. Removal is not an endorsement of either party's position.

6. Acceptable use

You agree not to: harass, threaten, defame or discriminate against anyone; post unlawful, obscene or misleading content; spam members or send unsolicited commercial messages through our messaging tools; scrape, crawl, harvest or bulk-export data; reverse engineer, probe or interfere with the platform's security; upload malware; misuse other members' contact details; or use HospiHub to advertise services unrelated to hospitality.

We may investigate suspected breaches and may remove content, limit features, suspend or terminate accounts, and report unlawful conduct to authorities.

7. Communications you receive

By holding an account you agree to receive service communications - booking requests and status changes, job application updates, messages, review alerts, moderation outcomes, security notices and important changes to these terms. These are part of the service and cannot be switched off while your account is active; most of them appear in the in-app notifications centre.

Marketing and network updates (our newsletter) are separate and optional. You choose during onboarding whether to receive them, and you can change that choice at any time from the preferences link in any newsletter or by contacting us.

8. Paid plans and fees

Paid plans, where offered, bill in advance for the stated period and renew automatically until cancelled. You may cancel at any time and will keep access until the end of the period already paid for. Except where the law requires otherwise, fees already paid are non-refundable. We may change prices with reasonable notice, effective at your next renewal.

9. Intellectual property in the platform

The HospiHub name, logo, interface, software, design and content (other than Member Content) belong to HospiHub or its licensors. Nothing in these terms transfers those rights to you. You get a limited, revocable, non-transferable right to use the platform for its intended purpose.

10. Third-party services

The platform relies on third-party infrastructure such as hosting, database, email delivery and analytics providers, and may link to third-party sites. We are not responsible for the content, terms or practices of third parties, and your use of their services is governed by their own agreements.

11. Suspension and termination

You may stop using HospiHub and request deletion of your account at any time. We may suspend or terminate an account, with notice where practical, if you breach these terms, create risk or legal exposure, or if we discontinue the service. Sections that by their nature should survive - content licence for retained copies, disclaimers, liability limits, indemnity and dispute terms - survive termination.

12. Disclaimers

The platform is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty about the conduct, reliability, quality, legality or suitability of members, listings, jobs or bookings. We do not warrant uninterrupted or error-free operation.

13. Limitation of liability

To the fullest extent permitted by law, HospiHub and its officers, employees and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or relating to the platform, member conduct, bookings, or your Member Content - even if we were advised such damages were possible.

Our total aggregate liability for all claims relating to the platform in any twelve-month period is limited to the greater of the amounts you paid HospiHub in that period or one hundred US dollars (USD 100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnity

You agree to indemnify and hold harmless HospiHub from claims, damages, liabilities, losses and reasonable legal fees arising out of your Member Content, your use of the platform, your dealings or engagements with other members, or your breach of these terms or of any law or third-party right.

15. Disputes between members

Disagreements about work performed, payments, no-shows or damages are between the members involved. We may, but are not obliged to, provide records such as booking history or messages to help resolve a dispute. You release HospiHub from claims arising out of disputes with other members.

16. Governing law and dispute resolution

These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. You and HospiHub agree to first attempt to resolve any dispute informally by contacting hello@hospihub.net. If that fails, disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, and both parties consent to that jurisdiction. Claims must be brought on an individual basis, not as part of a class or representative action.

17. Changes to these terms

We may update these terms as the platform evolves. When changes are material we will notify you in the product or by email and, where appropriate, ask you to accept the updated version. Continued use after the effective date means you accept the update. The version and date you accepted are recorded on your account.

18. General

If a provision is found unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These terms and the Privacy Policy are the entire agreement between us about the platform.
